Introduction

Welcome to WellnessHQ. These Terms and Conditions govern your access to and use of the WellnessHQ website, platform, services, tools, content, forms, communications, booking flows, practitioner listings, and related services operated by WellnessHQ Private Limited.

By accessing or using WellnessHQ, creating an account, submitting a form, listing a program, booking a program, making a payment, or otherwise using our services, you agree to these Terms. If you do not agree, please do not use WellnessHQ.

About WellnessHQ

WellnessHQ is a platform for wellness practitioners and organisations to create, publish, manage, and offer online and offline wellness programs, sessions, consultations, resources, and related services. WellnessHQ also helps users discover, evaluate, and book wellness programs.

Unless expressly stated otherwise, WellnessHQ is a technology platform and marketplace. WellnessHQ does not itself provide medical care, clinical treatment, emergency services, diagnosis, therapy, counselling, nutrition advice, fitness instruction, or other professional services offered by practitioners on the platform.

Eligibility

You may use WellnessHQ only if you are legally capable of entering into a binding contract under applicable law.

You must not use WellnessHQ if:

• You are prohibited from using the services under applicable law.
• You have previously been suspended or removed from WellnessHQ.
• You are using the platform for unlawful, misleading, harmful, abusive, or fraudulent purposes.

WellnessHQ is not intended for children. If users below 18 years of age are allowed to participate in any program, the parent or legal guardian must provide consent and remain responsible for the minor's participation.

User Accounts

You may need to create an account or submit information to use certain features. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of your login details and for all activity under your account. You must notify WellnessHQ immediately if you suspect unauthorised access or misuse.

Practitioner Listings And Programs

Practitioners may use WellnessHQ to create profiles, publish programs, list schedules, communicate with users, share resources, accept bookings, and receive payments where enabled.

Practitioners are solely responsible for:

• The accuracy of their profile, qualifications, certifications, licenses, experience, and claims.
• The design, safety, suitability, pricing, availability, delivery, and quality of their programs.
• The professional advice, guidance, content, resources, or services they provide.
• Obtaining and maintaining all registrations, licenses, certifications, insurance, and approvals required under applicable law.
• Complying with all professional, ethical, advertising, consumer protection, data protection, tax, and platform obligations.

WellnessHQ may review, approve, reject, suspend, edit, or remove practitioner profiles or programs where it believes the content is inaccurate, unsafe, unlawful, misleading, harmful, or inconsistent with WellnessHQ's policies.

User Bookings

Users may book wellness programs, consultations, sessions, or other offerings made available by practitioners. Before booking, users should carefully review:

• Program description.
• Practitioner details.
• Price and applicable fees.
• Program format, location, schedule, and duration.
• Eligibility, health, fitness, or participation requirements.
• Cancellation, refund, and rescheduling rules.

By booking a program, you agree to attend and participate responsibly, follow lawful and reasonable practitioner instructions, and disclose relevant health or safety information where necessary for safe participation.

Payments And Platform Fee

Where payments are enabled, users may pay through WellnessHQ or a third-party payment provider. WellnessHQ may charge a platform fee on paid bookings, unless stated otherwise at checkout.

The final amount payable, including program price, applicable platform fee, taxes, and any payment charges, should be displayed before payment confirmation. Where required, WellnessHQ should disclose the total price and the breakup of charges before the user confirms payment.

WellnessHQ may use third-party payment processors. WellnessHQ does not intend to directly store full card details. Payment processing may be subject to the payment provider's own terms, privacy policy, and security standards.

Cancellation, Refunds, And Rescheduling

Cancellations, refunds, and rescheduling are governed by the Cancellation and Refund Policy published by WellnessHQ and any specific program terms displayed before booking.

If there is a conflict between a specific program policy and the general Cancellation and Refund Policy, the policy displayed at the time of booking will apply, unless applicable law requires otherwise.

Health And Wellness Disclaimer

WellnessHQ is not a hospital, clinic, emergency service, or substitute for medical advice, diagnosis, treatment, counselling, therapy, or professional healthcare.

Content and programs on WellnessHQ are for wellness, education, lifestyle, fitness, nutrition, mental wellbeing, or general support purposes unless expressly provided by a qualified professional acting within the scope of their license or professional authority.

You should consult a qualified healthcare provider before starting any fitness, yoga, nutrition, counselling, psychology, lifestyle, or wellness program if you have any medical condition, injury, disability, pregnancy-related concern, medication use, mental health concern, or other risk factor.

If you are experiencing a medical or mental health emergency, contact local emergency services immediately. Do not rely on WellnessHQ for emergency support.

User Content

You may submit content such as profile information, program descriptions, reviews, testimonials, comments, messages, files, resources, images, and other materials.

You represent that you own or have the required rights to submit your content and that it does not violate any law, contract, third-party right, professional obligation, or WellnessHQ policy.

By submitting content to WellnessHQ, you grant WellnessHQ a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, modify for formatting, distribute, and use the content as reasonably necessary to operate, promote, improve, and provide the services.

WellnessHQ may remove or restrict content that it believes is unlawful, misleading, unsafe, abusive, infringing, spam, or otherwise inappropriate.

Prohibited Use

You must not:

• Use WellnessHQ for unlawful, fraudulent, misleading, abusive, harmful, or exploitative activity.
• Misrepresent your identity, qualifications, professional status, services, or affiliations.
• Make unsupported medical, therapeutic, fitness, mental health, nutrition, weight loss, cure, income, or guaranteed-result claims.
• Upload malware, spam, or harmful code.
• Attempt to gain unauthorised access to WellnessHQ systems or user accounts.
• Scrape, copy, or misuse platform data without permission.
• Harass, threaten, discriminate against, or abuse any user, practitioner, employee, or representative.
• Collect or process personal data from other users except as permitted by law and WellnessHQ policies.
• Circumvent WellnessHQ's payment, booking, fee, safety, or moderation processes.

Intellectual Property

WellnessHQ, its brand name, website, platform design, software, workflows, text, graphics, logos, trademarks, and other materials are owned by or licensed to WellnessHQ Private Limited and are protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, reverse engineer, or commercially exploit WellnessHQ materials without written permission, except as expressly allowed by law or these Terms.

Practitioners and users retain ownership of their own content, subject to the license granted to WellnessHQ for platform operation.

Third-Party Links And Tools

WellnessHQ may link to or integrate with third-party services such as payment gateways, forms, calendars, analytics tools, messaging platforms, video tools, maps, and social media platforms.

WellnessHQ is not responsible for third-party websites, tools, content, privacy practices, security, availability, or terms. Your use of third-party services is subject to their own terms and policies.

Suspension And Termination

WellnessHQ may suspend, restrict, remove, or terminate access to the platform if it believes that you have violated these Terms, applicable law, professional obligations, user safety standards, payment obligations, or platform policies.

You may stop using WellnessHQ at any time. Some provisions, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and data retention provisions, may continue after termination.

Disclaimers

WellnessHQ is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, WellnessHQ disclaims warranties of uninterrupted availability, error-free operation, fitness for a particular purpose, accuracy of practitioner claims, program outcomes, or suitability of any program for a specific user.

WellnessHQ does not guarantee that any user will achieve any health, fitness, wellness, nutrition, mental wellbeing, business, income, or personal outcome from using the platform or participating in any program.

Limitation Of Liability

To the fullest extent permitted by law, WellnessHQ Private Limited, its directors, officers, employees, contractors, partners, and affiliates will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, personal injury, program dissatisfaction, or loss arising from practitioner services, third-party services, user conduct, or platform unavailability.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnity

You agree to indemnify and hold harmless WellnessHQ Private Limited, its directors, officers, employees, contractors, partners, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from:

• Your use or misuse of WellnessHQ.
• Your breach of these Terms or platform policies.
• Your violation of applicable law or third-party rights.
• Your content, services, claims, conduct, or professional advice.
• Any dispute between a user and practitioner, except where caused by WellnessHQ's own proven unlawful conduct.

Governing Law And Disputes

These Terms are governed by the laws of India.

Subject to applicable law, courts located at Malappuram, Kerala, India will have exclusive jurisdiction over disputes arising from or relating to these Terms or WellnessHQ.

Before initiating formal proceedings, you agree to contact WellnessHQ at info@wellnesshq.in and attempt to resolve the issue in good faith.

Changes To These Terms

WellnessHQ may update these Terms from time to time. The updated version will be posted on the website with a revised "Last updated" date. Continued use of WellnessHQ after changes means you accept the updated Terms.

Practitioner Terms

Scope

These Practitioner Terms apply to practitioners, trainers, instructors, coaches, counsellors, psychologists, dietitians, nutrition professionals, wellness centres, clinics, organisations, and other service providers using WellnessHQ.

By creating a practitioner profile, submitting onboarding information, publishing a program, accepting a booking, uploading resources, or receiving payments through WellnessHQ, you agree to these Practitioner Terms.

Practitioner Status

Practitioners are independent service providers and are not employees, agents, partners, or representatives of WellnessHQ unless a separate written agreement states otherwise.

Practitioners are responsible for their own services, professional conduct, tax obligations, legal compliance, insurance, licenses, registrations, and client relationships.

Eligibility And Approval

WellnessHQ may require practitioners to provide information about identity, qualifications, certifications, experience, location, services, tax details, payment details, and supporting documents.

WellnessHQ may approve, reject, suspend, or remove practitioner accounts or program listings at its discretion, especially where safety, accuracy, trust, policy compliance, or legal risk is involved.

Profile And Credential Accuracy

Practitioners must ensure that all profile information, qualifications, licenses, certifications, program details, pricing, schedules, availability, images, testimonials, and claims are accurate, current, lawful, and not misleading.

Practitioners must not falsely claim to be doctors, psychologists, therapists, counsellors, dietitians, nutritionists, medical professionals, certified trainers, or licensed professionals unless they are legally entitled to do so.

Program Responsibility

Practitioners are responsible for:

• Designing and delivering safe and appropriate programs.
• Screening users where necessary.
• Explaining risks and participation requirements.
• Providing accurate schedules, locations, links, and resources.
• Maintaining professional boundaries and confidentiality.
• Complying with applicable professional and ethical obligations.
• Handling user questions, rescheduling, cancellations, and program changes responsibly.

Prohibited Claims

Practitioners must not make unsupported or misleading claims, including claims that a program:

• Cures, treats, diagnoses, or prevents disease unless legally authorised and properly substantiated.
• Guarantees weight loss, mental health improvement, recovery, transformation, income, or any specific outcome.
• Replaces medical care, therapy, counselling, emergency services, medication, or professional advice.
• Is endorsed, verified, certified, or guaranteed by WellnessHQ unless WellnessHQ has expressly confirmed this in writing.

Client Data And Confidentiality

Practitioners may receive personal data through WellnessHQ. Practitioners must:

• Use client data only for the relevant program, communication, support, and lawful purposes.
• Keep client information confidential.
• Not sell, misuse, spam, or unlawfully disclose client data.
• Protect client data using reasonable security measures.
• Delete or return client data where required by law, WellnessHQ policy, or user request.
• Immediately notify WellnessHQ of any suspected unauthorised access, breach, misuse, or disclosure.

Pricing, Fees, And Payouts

Practitioners are responsible for setting accurate prices unless WellnessHQ provides pricing controls or agreed pricing.

WellnessHQ may deduct platform fees, refunds, payment processing charges, taxes, adjustments, chargebacks, or other amounts before payout.

Payout timelines depend on payment provider settlement cycles, refund windows, fraud checks, compliance checks, and operational requirements.

Cancellations And Refunds

Practitioners must honour the cancellation, refund, and rescheduling terms displayed to users at the time of booking.

If a practitioner cancels, fails to attend, materially changes, or fails to deliver a program, WellnessHQ may process refunds, withhold payouts, recover amounts, or take other reasonable action.

Content License

Practitioners grant WellnessHQ permission to use practitioner names, profile information, program details, images, logos, bios, descriptions, and related content for operating, displaying, promoting, and improving WellnessHQ.

Practitioners confirm they have the rights to all content they submit.

Reviews And Testimonials

Practitioners must not create fake reviews, suppress honest reviews, incentivise reviews without disclosure, pressure users to leave positive reviews, or misrepresent testimonials.

Any testimonial or result claim must be truthful, not misleading, and supported where required.

Suspension Or Removal

WellnessHQ may suspend, restrict, delist, or remove a practitioner or program if WellnessHQ believes the practitioner has violated these terms, harmed users, made misleading claims, failed to deliver services, misused data, violated law, or created legal, safety, or trust risks.

Payment Terms

Payment Processing

Payments on WellnessHQ may be processed through third-party payment providers. By making a payment, you agree to the applicable payment provider's terms and policies.

WellnessHQ does not intend to directly store full card details. Payment details may be handled by the payment provider according to its own security and compliance standards.

Pricing

Prices should be displayed before booking confirmation. The final payable amount may include:

• Practitioner program price.
• WellnessHQ platform fee.
• Taxes, if applicable.
• Payment processing charges, if applicable.
• Other charges clearly disclosed before payment.

WellnessHQ Platform Fee

WellnessHQ may charge a platform fee on paid bookings unless stated otherwise at checkout.

WellnessHQ may update platform fees from time to time. The applicable fee and total payable amount should be displayed before payment.

Failed Payments

If payment fails, the booking may not be confirmed. WellnessHQ is not responsible for bank, payment provider, UPI, card network, wallet, or user-side payment failures.

If money is deducted but the booking is not confirmed, contact info@wellnesshq.in with payment proof and transaction details.

Chargebacks And Disputes

If you initiate a chargeback or payment dispute, WellnessHQ may share relevant booking, payment, attendance, cancellation, and communication records with the payment provider, bank, or dispute authority.

Fraudulent or abusive chargebacks may result in account restrictions.

Practitioner Payouts

Practitioner payouts, deductions, platform fees, taxes, refunds, settlement timelines, and payout holds will be governed by Practitioner Terms, program terms, and payment provider rules.
